The Consultancy delivers Corporate / Commercial legal services traditionally offered by law firms (“Legal Advisory” services), as well as work ordinarily undertaken by In-house Legal Counsel (“Outsourced Legal Counsel” services).

 

LEGAL ADVISORY SERVICES

 

These services entail legal work commonly sought of and offered by Corporate / Commercial law firms. The nature of this work is to be distinguished from the Consultancy’s Outsourced Legal Counsel services. Whereas Legal Advisory services would, for example, involve reviewing a shareholders’ agreement, Outsourced Legal Counsel assistance could also involve providing a report on the adherence of that shareholders’ agreement to the client group’s investment policy, and/or a summary for the Board.

OUTSOURCED LEGAL COUNSEL SERVICES

 

Clients may require such support when they do not have an in-house Legal Counsel or Advisor, or when capacity within that function is limited. The Practice is able to provide services typically performed by an in-house corporate / commercial Legal Counsel or Advisor, so as to free up clients’ time for other priorities. These activities are often time-consuming, as they involve extracting key findings from voluminous documents, and packaging them according to a client’s preferred decision-making style. This model seeks to bridge the gap between traditional law firm services and a business’ executive needs.

 

In her in-house roles, Josephine has sat on approval and oversight committees on both corporate and lender side. As such, she understands the key drivers of decision-making. Tasks that clients may wish to outsource include:

 

  • Preparing summaries or presentations on provisions of agreements and legal risks and mitigants, for internal reporting, in a formal that speaks to the business’ KPI’s.
  • Undertaking legal gap analysis.
  • Distilling legal issues for and making recommendations to decision-making committees and other functions within the business.
  • Reports on legal spend, allocation thereof and/or legal milestones in transactions.
  • Project management of transactions or other legal matters.
  • Assessment of agreements for strategic positioning (e.g. lock-up, encumbrance, exit and cross-default provisions).
